  1. Scope of Application<\/b><\/li>\n<\/ol>\n

    These General Terms for Cooperation apply to all business relationships between NRW.TECH Institut GmbH (\u201cNRW.TECH\u201d) and its cooperation partners, clients, and project stakeholders.<\/span><\/p>\n

    They apply exclusively to business-to-business (B2B) relationships.<\/span><\/p>\n

    1. Role of NRW.TECH<\/b><\/li>\n<\/ol>\n

      NRW.TECH acts as an independent interface for:<\/span><\/p>\n

        \n
      • technology transfer\u00a0<\/span><\/li>\n
      • industrial integration\u00a0<\/span><\/li>\n
      • strategic partnership development\u00a0<\/span><\/li>\n
      • positioning within industrial and innovation ecosystems\u00a0<\/span><\/li>\n
      • structured access to relevant stakeholders and networks\u00a0<\/span><\/li>\n<\/ul>\n

        Unless explicitly agreed otherwise in writing, NRW.TECH does not act as a commercial agent within the meaning of Section 84 German Commercial Code (HGB).<\/span><\/p>\n

        1. Structure of Cooperation<\/b><\/li>\n<\/ol>\n

          The scope and structure of services are defined individually within project-specific agreements, including cooperation agreements, letters of intent (LoI), memoranda of understanding (MoU), or integration mandates.<\/span><\/p>\n

          NRW.TECH supports structured cooperation and integration processes but does not guarantee specific commercial outcomes unless expressly agreed.<\/span><\/p>\n

          1. Cooperation Formats and Remuneration<\/b><\/li>\n<\/ol>\n

            Depending on the nature of cooperation, project structures may include:<\/span><\/p>\n

              \n
            • retainer-based cooperation formats\u00a0<\/span><\/li>\n
            • project-based structuring services\u00a0<\/span><\/li>\n
            • milestone-related compensation within integration processes\u00a0<\/span><\/li>\n
            • success-related components in structured cooperation contexts\u00a0<\/span><\/li>\n
            • participation models in long-term integration initiatives\u00a0<\/span><\/li>\n<\/ul>\n

              Details are defined in individual agreements.<\/span><\/p>\n

              1. Confidentiality<\/b><\/li>\n<\/ol>\n

                All non-public technical, strategic, and business information exchanged within cooperation frameworks shall be treated as confidential by both parties.<\/span><\/p>\n

                1. Intellectual Property<\/b><\/li>\n<\/ol>\n

                  Concepts, analyses, and integration approaches developed by NRW.TECH remain the intellectual property of NRW.TECH unless otherwise agreed.<\/span><\/p>\n

                  1. Liability<\/b><\/li>\n<\/ol>\n

                    NRW.TECH shall be liable without limitation only in cases of intent or gross negligence. In cases of slight negligence, liability shall be limited to foreseeable damages typical for the respective cooperation.<\/span><\/p>\n

                    1. Non-Exclusivity<\/b><\/li>\n<\/ol>\n

                      Cooperation with NRW.TECH does not imply exclusivity unless expressly agreed in writing.<\/span><\/p>\n

                      1. Applicable Law and Jurisdiction<\/b><\/li>\n<\/ol>\n

                        German law shall apply.
